1. Who we are
Ombrelo is provided by [Company name], Greek tax ID (ΑΦΜ) [ΑΦΜ], tax office (ΔΟΥ) [ΔΟΥ], General Commercial Registry (ΓΕΜΗ) no. [ΓΕΜΗ], with its registered office at [Address]. Contact email: [email].
2. Definitions
- Service: the Ombrelo platform, meaning the digital menu, QR ordering and payments, the dashboard, the bar and kitchen screens, bookings, the artificial intelligence features and anything else your plan includes.
- Business: the natural or legal person that opens an account for one or more venues.
- Users: the owner and the staff of the Business with access to the dashboard (owner, manager, waiter, bar, kitchen).
- Guests: the Business’s visitors who open the menu from the QR code, order, pay or make a booking.
- Spot: each umbrella, sunbed or table with its own QR code.
3. Account and access
- You provide true and complete details and keep them up to date, especially your tax details (legal name, tax ID, tax office, address).
- You are responsible for your staff’s accounts: who has access, with which role, and the security of their passwords. Remove access immediately from anyone who stops working with you.
- If you suspect that someone has entered your account without permission, let us know immediately.
- You must be at least 18 years old and have the authority to bind the Business.
4. Trial, plans and billing
- Trial: every new Business starts with a 30-day trial of the Pro plan, without giving a card. If you do not choose a paid plan by the end of it, the account automatically moves to the free “Menu” plan. You are not charged anything unless you choose to be.
- Prices: the prices on the Pricing page at the time you choose apply, per venue, in euros, excluding VAT (24%). The price depends on the plan, the billing method and the number of spots.
- Billing method: with monthly billing you pay only for the months of operation you have declared. With season billing you pay once for the whole season.
- Founding price: the first 30 Businesses designated as “founding” get a 50% discount on every charge for the same venue, with no time limit. [Specify whether the discount is kept after cancellation or a change of ownership]
- Referrals: if a new Business signs up through your referral link and pays for a second month or a season, you both receive one (1) month free (monthly billing) or a 20% discount on the next season (season billing). The reward cannot be exchanged for money. Referrals to yourself or to existing accounts do not count.
- Price changes: we notify you at least 30 days in advance. New prices apply from the next billing period; a period you have already paid for does not change.
- Failed payment: if a charge does not go through, you have 7 days to fix it. After that, the account moves to the free plan until the charge is paid. Your data is not lost.
- Refunds: [Refund policy, e.g. no refund for a period that has already started].
- Invoices: for every charge we issue a tax document (invoice or receipt) with the tax details you have given us.
5. Payments from your guests
- Guest payments are made through Stripe, directly to your own Stripe account. The Business is the seller: you sell to your guests and you issue their receipts.
- Ombrelo takes no commission on orders or payments. Stripe’s per-transaction fees apply under Stripe’s terms, which you accept when you connect your account.
- Refunds, chargebacks and tips are the responsibility of the Business. The Service helps you manage them.
- Card details do not pass through our servers; they are handled exclusively by Stripe.
6. Your content
- Whatever you upload (menus, prices, photos, descriptions, allergens, logo) remains yours. You give us permission to store it, translate it and show it to your guests, only so that the Service works.
- You are responsible for the accuracy of prices and descriptions, and especially of allergens, as well as for complying with the rules on displaying prices and with health regulations.
- You do not upload content that breaks the law or infringes the rights of others (e.g. photos that do not belong to you).
7. Tax obligations and myDATA
myDATA is the electronic books platform of the Greek tax authority (ΑΑΔΕ), so the points about myDATA below apply to venues in Greece.
- The Service can transmit food service order slips (document type 8.6) to ΑΑΔΕ’s myDATA through a certified e-invoicing provider, based on the settings you make.
- The Business remains responsible for its tax obligations: the correct setup (VAT, categories, series), issuing receipts or invoices, and connecting to a fiscal device or provider where required. We recommend doing the setup together with your accountant.
- We are not responsible for fines or other consequences caused by incorrect settings or details of the Business, or by downtime of the provider or of ΑΑΔΕ’s systems.
8. Artificial intelligence features
- The Service uses artificial intelligence for translations, reading menus from a photo, the AI waiter’s answers to guests, the morning briefing, forecasts of how busy you will be, and suggestions.
- The results are an aid and may contain mistakes. Check in particular the translations of allergens, and the prices. Forecasts are based on the weather and your history and are not a guarantee.
- You are responsible for any change or action you approve based on the AI’s suggestions (e.g. a price change, an order to a supplier).
- The AI provider we use does not train its models on the Service’s data, according to its commercial terms. Details in the Privacy policy.
9. Access to your account by Ombrelo staff
Authorised members of Ombrelo staff may access the Business’s account (menu, orders, settings, statistics and the rest of the dashboard) for the following purposes:
- support: when you ask us for help, or when it is needed to solve a problem with your operation,
- security: to detect and investigate security incidents,
- prevention of fraud and abuse of the Service or of payments,
- quality control: to make sure the Service works correctly and to improve it.
The following always applies to this access:
- Logging: every access is recorded in an internal log (who, when, which account, with which permissions). You can ask us to tell you whether and when your account was accessed.
- Read-only by default: access takes place in “view only” mode, which does not allow changes. We make changes only when they are needed for support, for example to fix something you asked us to.
- Limited duration: every access expires automatically after a few hours.
- Confidentiality: only specific authorised persons have access, and they are bound by a duty of confidentiality. What they see is not used for any other purpose and is not disclosed to third parties.
- No disruption to your work: the access does not show on your screens while it happens and does not log anyone out.
- Where the access concerns your guests’ personal data, it takes place as a processor, in accordance with the Data processing agreement.
10. Acceptable use
The following are not allowed:
- using the Service for an unlawful purpose or to mislead guests,
- sending unsolicited advertising messages to guests through the Service,
- attempting to access other people’s accounts or to bypass security measures,
- reverse engineering, mass extraction of data (scraping) or deliberately overloading the Service,
- reselling the Service or making it available to third parties without our written agreement.
In case of a serious breach we may suspend the account, letting you know and explaining the reason.
11. Availability and support
- We try to keep the Service running without interruption, especially during the season. There may be short interruptions for maintenance (outside peak hours and with notice, as far as possible) or for reasons beyond our control, such as problems with the internet or with providers.
- Support: by email at [email] [phone and support hours].
12. Intellectual property
The Service, the code, the design and the Ombrelo trademark belong to us. We give you a non-exclusive, non-transferable right to use them for as long as you use the Service. If you send us ideas or feedback for improvements, we may use them freely.
13. Personal data
For your guests’ data, the Business is the controller and we are the processor; the Data processing agreement forms part of these terms. For the data of your account (owner, staff, subscription), we are the controller. See the Privacy policy.
14. Liability
- The Service is provided as available. We are always liable for wilful misconduct and gross negligence.
- Otherwise, and to the extent permitted by law, our total liability is limited to the amount you paid us in the last 12 months, and we are not liable for lost profits or indirect damage.
- We are not liable for third-party services (Stripe, messaging providers, the myDATA provider, internet providers), beyond what the law provides.
15. Term, cancellation and deletion
- You can stop your subscription whenever you want from Subscription in the dashboard. Your plan stays active until the end of the period you have paid for; after that, you move to the free plan.
- You can ask for your account to be deleted. Before that, you can ask us for a copy of your data (menu, orders). We delete the data within [90 days], except for whatever we must keep by law (e.g. tax documents).
- We may terminate the agreement with 30 days’ notice, or immediately in case of a serious breach of these terms.
16. Changes to these terms
For material changes we notify you by email or in the dashboard at least 30 days before they take effect. If you do not agree, you can stop using the Service before the effective date.
17. Governing law and disputes
Greek law applies. The courts of [city] have jurisdiction over any dispute. Before anything else, write to us: most things are solved with a conversation.
